Hugh Bolton, Chairman

| Hugh Bolton is the Chair of the Board of EPCOR Utilities Inc. and
EPCOR Preferred Equity Inc. He is also a director of the Toronto Dominion Bank,
Canadian National Railways, Teck Cominco Limited and the Canadian Diabetes
Association. Mr. Bolton retired as Chairman and CEO of Coopers & Lybrand
Canada in 1998 after a 40-year career with the company (now
PricewaterhouseCoopers) and predecessor firms.

Nizar J. Somji, Director

Nizar J. Somji is the founder, president and CEO of Matrikon. Nizar has over
20 years of experience in the process industry. Under Nizar's leadership,
Matrikon grew from a local consulting company to an international solution
provider without incurring any debt. He is responsible for setting Matrikon's
strategic direction and overseeing its execution. Nizar is a director of Optimal
Geomatics and CARE Canada.

| Kent Jespersen is the Chairman and Chief Executive Officer of La
Jolla Resources Int'l. Ltd. and has held senior executive positions with
several energy resource companies, including serving as President at NOVA Gas
International and Foothills Pipe Lines and as Senior Vice President at Husky
Oil. Mr. Jespersen is a corporate director of several companies, including GEAC
(Chairman), Bow Valley Energy Ltd., Axia NetMedia, CCR Technologies Inc.
(Chairman), Telesystem International Wireless and the Mount Royal College
Foundation.

| Robert Moore assists early stage companies and is Director of
Finance for Tech Coast Angels in Orange County, California. Dr. Moore retired
as President of Gensym Corporation after co-founding the company and growing it
to over $50 million in revenue.

| Michael Percy is the Dean of the School of Business at the
University of Alberta and has been with the University since 1979. Dr. Percy is
also a Principal of Strategic Relations Inc. and an active researcher and
commentator on a variety of public policy issues. Dr. Percy also serves as a
corporate director of EPCOR Utilities Inc., and Timber Investments Ltd. and is
a past-President of the Edmonton Chamber of Commerce.

| Janice Rennie is the Principal of Rennie & Associates, which
operates a number of business interests. She has held senior management
positions with a number of companies, including President of Research
Technology Management Inc. and Bellanca Developments Ltd. and Senior Vice
President of Princeton Developments Ltd., all private companies. Ms. Rennie is
also a corporate director of NOVA Chemicals, EPCOR Utilities Inc., EPCOR
Preferred Equities Inc., Canadian Hotel Income Properties, and Greystone
Capital Management Inc.

| Eric Rosenfeld has been President and Chief Executive Officer of
Crescendo Partners L.P., a New York based investment firm, since its formation in
1998. Prior to forming Crescendo Partners, he held the position of Managing Director
at CIBC Oppenheimer and its predecessor company Oppenheimer & Co., Inc for fourteen
years. Mr. Rosenfeld has extensive public market experience and currently serves
on the boards of CPI Aerostructures Inc, Computer Horizons Corp., Rhapsody Acquisition
Corporation, Emergis Inc., and Hill International.

| Dwight Bliss is the Corporate Secretary of Matrikon. Mr. Bliss is a
partner in the Edmonton office of Fraser Milner Casgrain, Barristers &
Solicitors and is a member of the Bar of Alberta and the State of Colorado.

Peter Lawrence, Chief Technical Officer
Dr. Peter Lawrence is responsible for leading Matrikon's long term technology
strategy. Peter's 30-year career has included key technical management and
strategic positions focusing on the application of automation and information
technology. In his career, Peter has founded several instrumentation, automation
and information companies and divisions. Prior to joining Matrikon, he was the
founder and president of Resolution Integration Solutions, Inc. (whose assets
were acquired by Matrikon in 2005). Peter holds an undergraduate degree in
Mechanical Engineering from Brunel University and a Doctorate from the
University of Wales Institute of Science and Technology.
Gordon Freund, General Counsel
Gordon oversees legal matters for Matrikon, including regulatory requirements,
project contracts, human resource issues, risk management and general legal advice.
Gordon has over 22 years of experience in broad general practice including corporate
and commercial law.
Floyd Bjorgan, Vice-President, Operations
Floyd is responsible for directly managing Matrikon’s back-end functions and
guiding operations. Floyd has over 25 years of industry experience, including
10 years at Matrikon. He has held a number of senior positions at Matrikon,
and has been a key contributor to the growth of the company through regional
expansion and the organic growth of regional offices.
Mike Brown, Vice-President, Solutions
Mike holds a Masters of Applied Science degree from the University of Waterloo
and has 20 years experience in performance improvement solutions in the process
industries. He has extensive experience with strategic process control solution
consulting to achieve optimal plant performance. As VP Solutions, Mike works with
Matrikon's professional services teams and industry domain experts to ensure
effective delivery of Matrikon solutions.
Jeff Gould, Vice-President, Products
In the eleven years that Jeff has been with Matrikon he has been instrumental to
Matrikon's product development and sales. Jeff oversees Matrikon's products division,
including product development, support and sales.
Sean Leonard, Vice-President, OPC
Sean is responsible for all aspects of Matrikon's OPC product business.
He has a proven track record of bringing high value industrial technology to
market and has worked closely with the OPC foundation to evolve the OPC
specifications. Sean holds a Masters of Science in Computer Engineering and
an MBA in technology commercialization and is a professional engineer.
Karim Rayani, Vice-President, Strategic Initiatives
Karim is responsible for strategic initiatives, including marketing to support the
sales force and the development of Matrikon’s Resolution business unit. Karim has
been involved in various aspects of Matrikon’s business over the past nine years,
from consulting and project management to branch, group and sales management. He
has helped to set up several international offices. Karim holds a Bachelor of
Science in Chemical Engineering.
Ian Brown, Managing Director, EMEA
Ian has over 20 years of experience in operations, business development and
project management and has pioneered performance monitoring applications for
Oil and Gas platforms. He is responsible for Matrikon’s business expansion and
growth in Europe, Middle East and Africa.
Sam Crisafulli, Managing Director, Asia-Pacific
Sam is responsible for managing and growing Matrikon's Asia Pacific operations.
He has extensive experience in technology commercialization, operations management
and business expansion and has spent the past 10 years in senior management roles.
Sam has a Ph.D. in Control Engineering from the Australian National University and
is a Fellow of the Australian Institute of Company Directors and the Institution of
Engineers, Australia.
